Liability Waiver, Assumption of Risk & Medical Disclaimer

Please read this carefully — it affects your legal rights. By checking the box for this document you acknowledge and accept the following. This document works together with our Terms of Service; if the two conflict on liability topics, this document controls.

1. Cadence is not medical care

Cadence ("the Service," operated by Brady Thistle Holdings LLC, a New York limited liability company doing business as Cadence Health) is a wellness and educational tool, including an AI coach. It does not provide medical advice, diagnosis, or treatment, and using it does not create a doctor–patient, therapist–client, dietitian–client, or other professional relationship. Nothing in the Service is a substitute for advice from a qualified, licensed healthcare professional.

Coaching responses are generated by artificial intelligence. AI output can be inaccurate, incomplete, outdated, or wrong for your specific situation, and no physician, dietitian, or other licensed professional reviews the coach's responses before you see them. Verify anything you intend to act on with a qualified clinician.

The Service does not monitor you. It may surface safety prompts when certain symptoms are mentioned, but it does not monitor your messages in real time, cannot recognize every urgent or emergency situation, and no human reviews your conversations. Never rely on the Service to detect an emergency or a mental-health crisis. In the United States, call or text 988 for mental-health crisis support, and call 911 (or your local emergency number) in an emergency.

Always consult your physician or another qualified clinician before starting, stopping, or changing any diet, supplement, exercise, medication, or other health-related practice.

2. You are 18 or older

You represent and warrant that you are at least 18 years old and legally able to enter into this agreement.

3. Assumption of risk

The Service suggests personalized, self-directed wellness experiments — including foods, elimination and reintroduction protocols, supplements, movement, sleep, and habit changes — based on the information you provide. Whether to try any of them is entirely your decision.

Lifestyle, dietary, nutritional, supplement, and exercise changes carry inherent risks, including (without limitation) injury, allergic or adverse reactions, interactions with medications or conditions, illness, aggravation of pre-existing conditions, and other health consequences.

YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL SUCH RISKS ARISING FROM YOUR USE OF THE SERVICE AND FROM ANY EXPERIMENT, SUGGESTION, PLAN, OR OTHER INFORMATION FROM THE SERVICE — INCLUDING EXPERIMENTS SUGGESTED BY THE AI COACH — THAT YOU CHOOSE TO ACT ON.

4. Your responsibilities

  • You are solely responsible for your own health decisions and for evaluating any information from the Service with your clinician.
  • You will provide accurate information and consult a clinician about your specific circumstances (including medical conditions, allergies, and medications).
  • You will stop any practice and seek medical care if you experience adverse symptoms.

If you are pregnant, breastfeeding, or trying to become pregnant: do not start any supplement, elimination diet, fasting protocol, or new exercise program suggested by the Service without your doctor's or midwife's explicit approval. Many commonly suggested supplements and dietary changes are unsafe or unstudied in pregnancy. Tell your clinician exactly what you are considering.

5. Experiments, supplements & third-party products

The coach's suggestions — including specific foods, supplements, doses, and timing — are educational starting points for self-directed experimentation, personalized from the information you provide. They are not medical, dietetic, or pharmacological advice, and they are not an instruction or prescription. Statements in the Service about supplements have not been evaluated by the Food and Drug Administration, and no supplement discussed in the Service is intended to diagnose, treat, cure, or prevent any disease.

We do not manufacture, sell, or warrant any third-party product. If the Service ever links to products through affiliate or store links, that will be disclosed where it appears (see Terms of Service), and your purchasing decisions remain your own.

6. Release and waiver of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE, WAIVE, AND DISCHARGE Brady Thistle Holdings LLC (d/b/a Cadence Health) and its owners, officers, employees, contractors, and affiliates (the "Released Parties") FROM ANY AND ALL CLAIMS, DEMANDS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING ORDINARY NEGLIGENCE), OR OTHERWISE.

This release does NOT apply to — and nothing in this document releases the Released Parties from — liability for gross negligence, willful or intentional misconduct, fraud, or any other liability that cannot lawfully be waived or limited under applicable law. If you live in a state or jurisdiction that does not permit some part of this release, that part applies to you only to the maximum extent permitted there, and the rest continues to apply.

7. No warranties; limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Any cap on direct damages is set in Section 11 of the Terms of Service, subject to the carve-outs in Section 6 above.

8. Indemnification

You agree to indemnify and hold harmless the Released Parties from claims or demands brought by a third party arising out of (a) your violation of this agreement or the Terms of Service, (b) your violation of any law or the rights of any third party, or (c) content you submit that you did not have the right to share.

9. Acknowledgement; reformation

By accepting, you confirm that you have read and understood this waiver, that you are 18 or older, and that you agree to its terms freely and voluntarily. If any provision of this document is held invalid or unenforceable, it shall be reformed to the minimum extent necessary to make it enforceable while preserving its intent, and the remaining provisions stay in full effect.
