Terms of Service

These Terms of Service ("Terms") govern your use of Cadence ("the Service"), operated by Brady Thistle Holdings LLC, a New York limited liability company doing business as Cadence Health ("we," "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Liability Waiver, which are part of your agreement with us.

1. Eligibility

You must be at least 18 years old to use the Service. By using it you represent that you are 18+ and able to enter into a binding agreement.

2. What Cadence is (and isn't)

Cadence is a wellness and educational tool, including an AI coach that suggests personalized, self-directed wellness experiments — foods, supplements, movement, sleep, and habit changes — based on the information you provide. It is not a medical service and does not provide medical advice, diagnosis, or treatment. Coaching responses are generated by artificial intelligence, can be inaccurate or wrong for your situation, and are not reviewed by any licensed professional before you see them. See the Liability Waiver & Medical Disclaimer, which you accept separately.

The Service can generate a summary document for you to share with your clinician. That summary is an organized record of information you provided — it is not a medical record, a diagnosis, or a clinical assessment, and your clinician should verify anything in it.

Always consult a qualified clinician before acting on the Service's suggestions — especially if you are pregnant, breastfeeding, managing a diagnosed condition, or taking medication. Call emergency services in an emergency.

3. Your account

You are responsible for the accuracy of your information and for keeping your login credentials secure. You are responsible for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to: misuse the Service; use it for any unlawful purpose; attempt to access other users' data; interfere with or disrupt the Service; resell or scrape it; or rely on it for emergencies or as a substitute for professional care.

5. Your content

You retain ownership of the information you submit (intake details, messages, photos, uploads, etc.). You grant us a limited, revocable license to host, process, and display that content solely to provide, secure, and support the Service for you — including sending it to the service providers named in our Privacy Policy to generate your coaching responses. We do not use your content to train AI models, and we do not use it for advertising. Do not upload content you do not have the right to share.

6. Experiments, supplements & affiliate links

The coach's suggestions about foods, supplements, or products are educational starting points for experiments you choose to run — not medical or dietetic advice, and not a prescription (see the Liability Waiver, including the FDA disclaimer). If the Service ever includes affiliate or store links, each will be disclosed where it appears, commissions never change the price you pay, commercial relationships never influence what the coach recommends, and your purchasing decisions are your own.

7. Subscriptions, billing & cancellation

Cadence is a monthly subscription billed through Stripe, our payment processor; we never see or store your full card number.

  • Pricing, in plain numbers. The standard price is $79/month. A limited number of founding members (the published cap — currently 50 seats) pay a founding rate of $49/month, and a founding subscription may include an advertised introductory first-month price (for example, $1 for the first month) shown at checkout. The exact amount due today and the renewal price are always displayed before you pay, and you separately and expressly consent to the automatically renewing charge. As Cadence earns its evidence, the standard price for new members may rise — existing members are protected by the price lock below.
  • The join-price lock (everyone, not just founding members). The monthly price in effect when you subscribe is your price for as long as your subscription remains continuously active. We will never raise it while your subscription continues, even as the standard price changes for new members. Founding members keep the founding rate of $49/month on the same promise. If you cancel or your subscription lapses and you later re-subscribe after any personally-communicated grace period, the then-current standard price applies.
  • Founding availability is real. The founding rate is limited to the published seat count and to any personal deadline we communicate to you (for example, a grace period following a free founding month). Members who joined during the free founding month keep that promise — no charge until their free month ends — and their founding rate is reserved through the deadline stated in their emails.
  • Month-to-month only. Subscriptions renew monthly until you cancel. We do not sell annual plans; if we ever offer one, it will be a separate, clearly-priced choice — never a switch made for you.
  • Cancel anytime, in two taps. Cancellation is self-serve in the app (Profile & settings → Billing → Manage subscription → Cancel) and always available by emailing support@cadencehealth.io; it takes effect at the end of the current billing period, and you keep access until then. We commit to keeping cancellation at least this easy.
  • 30-day refunds. Email support@cadencehealth.io within 30 days of any charge and we will refund it — no questions required.
  • Renewal acknowledgment. After you subscribe you'll receive an email confirming the price, the renewal terms, and how to cancel.
  • Founding-member pricing promises will not be changed retroactively (see Section 13).

8. Text messages (SMS program)

The Service does not send text messages today. If we launch our SMS program ("Cadence Health accountability texts" — recurring check-in reminders and coaching-related notifications), it will work like this: joining is optional and never a condition of purchase, and requires your separate, express opt-in when you provide your phone number. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time or HELP for help (or email brady@cadencehealth.io). Carriers are not liable for delayed or undelivered messages. Our Privacy Policy describes how SMS consent and mobile information are protected.

9. Intellectual property

The Service, including its software, design, and content (excluding your content), is owned by us or our licensors and is protected by law. You may not copy, modify, or distribute it except as allowed by these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY INFORMATION IT PRODUCES — INCLUDING AI-GENERATED COACHING, NUTRITION DATA, AND PATTERN INSIGHTS — IS COMPLETE, ACCURATE, OR RIGHT FOR YOUR SITUATION.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, Brady Thistle Holdings LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). These limits do not apply to liability that cannot lawfully be limited, including for gross negligence, willful misconduct, or fraud.

12. Indemnification

You agree to indemnify and hold us harmless from claims or demands brought by a third party arising out of (a) your violation of these Terms or applicable law, (b) your infringement of any third party's rights, or (c) content you submit that you did not have the right to share.

13. Changes to the Terms or the Service

We may update these Terms or the Service. If we make material changes, we will update the effective date and ask you to re-accept in the app before continuing — we do not rely on "continued use" alone for material changes. No change will retroactively take away a founding-member price lock or an advertised guarantee you already qualified for, and no change applies retroactively to reduce our obligations for events that already happened.

14. Termination

You may stop using the Service and request account deletion at any time (see the Privacy Policy for how, and what is deleted). We may suspend or terminate access if you violate these Terms or to protect the Service or other users; if we do, and you had paid for time you didn't receive, we will refund that portion.

15. Governing law & disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in New York, and both parties consent to their jurisdiction — except that you may always bring an eligible claim in the small-claims court where you live. Both parties agree to first try in good faith to resolve any dispute informally by emailing brady@cadencehealth.io before filing.

16. How these documents fit together; severability

Your agreement with us consists of these Terms, the Privacy Policy, and the Liability Waiver. On liability, release, and assumption-of-risk topics, the Liability Waiver controls; on privacy topics, the Privacy Policy controls; otherwise these Terms control. If any provision is held invalid or unenforceable, it will be reformed to the minimum extent necessary to make it enforceable while preserving its intent, and the rest remains in effect. Sections 5–6 and 9–16 survive the end of your account. Our failure to enforce a provision is not a waiver of it.
